CISB 6014 Law of Financial Transactions for the Entrepreneur
Objective:
The objective of this course is to provide students with an understanding of the specific legal issues, principles, and statutory requirements related to entrepreneurs' most important financial transactions. Early stage informal financing matters as well as later stage, more formal and sophisticated transactions will be considered.
Description:
This course will cover 1) Seed Capital matters including Rule504, Reg D, and Rule 144; 2) Stock Option issues including ISO, NON-ISO, vesting and SAR's; 3) Corporate Strategic Partnership topics including operating agreements and covenants; 4) Venture Capital matters including due diligence, terms sheets, definitive agreements, demand and piggyback rights; 5) Exit Strategies, mergers, acquisitions and; 6) Initial Public Offering issues including S-1 forms, Quiet Period, 10K's, 10Q's, 8K's and 13D.
